Terms of Service

This is a courtesy translation. The Dutch version of these Terms of Service is the legally binding version. In case of discrepancies, the Dutch text prevails.


1. Definitions

  • Grupetti: the sole proprietorship Grupetti, registered at the Dutch Chamber of Commerce under number [KVK NUMBER], VAT identification number [VAT ID], located at [ADDRESS], also referred to as "we", "us" or "our".
  • Platform: the website grupetti.cc, the mobile application "Grupetti" (iOS and Android), the web dashboard, and all associated services.
  • User: any natural person who creates an account on the Platform.
  • Club: a cycling club or group of cyclists that uses the Platform for club management.
  • Club Admin: a User with the "admin" role within a Club.
  • Ride Leader: a User with the "ride_leader" role within a Club.
  • Sponsor: a business or organization that enters into a sponsorship relationship with a Club via the Platform.
  • Event: an activity organized by a Club for which tickets are sold via the Platform.
  • Participant: a person who purchases a ticket for an Event via the Platform.
  • Services: all functionalities offered by Grupetti via the Platform, including but not limited to ride management, member management, route management, sponsor management, event ticketing, and content generation.
  • Stripe Connect: the payment infrastructure of Stripe, Inc. used for processing payments on the Platform.

3. Applicability

3.1 These Terms of Service apply to all use of the Platform and Services.

3.2 By creating an account, using the Platform, or registering a Club, you agree to these Terms of Service. You confirm that you have had the opportunity to read, save, and download these Terms before agreeing.

3.3 Grupetti may amend these Terms. We will notify Users of material changes at least 30 days in advance via email or an in-app notification. For Clubs using the Platform as business users, a notice period of at least 15 days applies, in accordance with Regulation (EU) 2019/1150 (Platform-to-Business). Continued use after the effective date constitutes acceptance. If you do not agree, you may terminate your account.

3.4 Deviations from these Terms are only valid if agreed upon in writing.

4. Account and registration

4.1 To use the Platform, you must create an account. You warrant that the information you provide is accurate, complete, and kept up to date.

4.2 You are responsible for keeping your login credentials confidential and for all activities that occur under your account. Report any unauthorized use to us immediately.

4.3 You must be at least 16 years old to create an account, in accordance with the Dutch GDPR Implementation Act (UAVG).

4.4 You may only create one account per person, unless you are a member of multiple Clubs.

4.5 Grupetti reserves the right to refuse, suspend, or terminate accounts in case of (suspected) abuse, fraud, or violation of these Terms, subject to article 12.

5. Services

5.1 Free services for Clubs

Grupetti offers the following services to Clubs at no cost:

  • Unlimited members and admins
  • Unlimited recurring rides
  • Route library (GPX files)
  • Weather forecasts for rides
  • Push notifications
  • Member directory and role management
  • Public club page (grupetti.cc/{slug})
  • Strava integration (OAuth, activity sync, group ride detection)
  • Ride cards and social media content generation
  • Sponsor management with deliverable tracking
  • Club leaderboard and statistics

5.2 Paid services — platform fees

Grupetti charges platform fees for the following services:

Clubs do not receive separate invoices for platform fees. Platform fees are automatically settled by Stripe with each transaction. An overview of all transactions and deducted fees is available in the club dashboard.

5.3 VAT on platform fees

As long as Grupetti uses the small businesses scheme (kleineondernemersregeling, KOR), no VAT is charged. Once Grupetti becomes VAT-registered (upon exceeding €20,000 annual turnover), platform fees will be increased by the applicable VAT rate (currently 21%). VAT will be displayed separately in the transaction overview.

5.4 Changes to services

Grupetti reserves the right to modify, add, or discontinue Services. We will notify Users in a timely manner. Core club management features (rides, members, routes) will always remain free.

5.5 Availability

Grupetti aims for 99% Platform availability but does not guarantee uninterrupted access. Planned maintenance will be announced in advance. In case of unplanned outages, we will inform Users as soon as possible.

6. Payments and Stripe Connect

6.1 All payments on the Platform are processed via Stripe Connect, a service of Stripe Technology Europe, Limited (Stripe). Grupetti does not process payments itself and does not hold funds.

6.2 By using payment features, you also agree to:

6.3 Club Admins who sell event tickets or receive sponsorship income must create a Stripe Connect Express account. This requires identity verification (KYC) by Stripe, including a valid KvK number for Dutch Clubs.

6.4 The payment flow is as follows: the Participant pays the ticket price; Stripe processes the payment and deducts Stripe processing fees; Grupetti's platform fee is automatically deducted (application fee); the remaining amount is paid out to the Club. At no point does Grupetti receive or manage funds of Participants or Clubs.

6.5 Payouts to Clubs follow the Stripe Connect schedule (typically within 2-7 business days after the transaction). Grupetti is not responsible for delays caused by Stripe.

6.6 If Stripe suspends or terminates a Connected Account, the associated payment features on the Platform will also be restricted. Grupetti is not liable for measures taken by Stripe against a Club.

7. Events and tickets

7.1 Grupetti acts solely as a facilitator of ticket sales. The purchase contract for an Event is formed between the Participant and the organizing Club. Grupetti is not a party to this contract.

7.2 Clubs are solely responsible for the organization, execution, accurate description, and potential cancellation of Events, as well as compliance with applicable laws and regulations (including permits and safety requirements).

7.3 Right of withdrawal: Under Article 6:230p(1)(e) of the Dutch Civil Code, the right of withdrawal (14-day cooling-off period) does not apply to the purchase of Event tickets, as these are tickets for leisure activities on a specific date or within a specific period. By completing your purchase, you acknowledge that the right of withdrawal does not apply to Event tickets.

7.4 The refund policy for Events is determined by the organizing Club. Grupetti's default refund policy applies unless the Club has communicated its own policy and this policy is visible to the Participant before purchase. See our Refund Policy for details.

7.5 If an Event is cancelled by the organizer, the Participant is entitled to a full refund of the ticket price, including platform fees.

7.6 Grupetti bears no liability for the quality, safety, execution, or cancellation of Events.

8. Ride participation and liability

8.1 Participation in rides organized via the Platform is at the participant's own risk.

8.2 Grupetti facilitates the planning and sign-up for rides but is not the organizer of rides. The Club and/or Ride Leader is responsible for the organization and safety of the ride.

8.3 Grupetti is not liable for injury, damage, or death resulting from participation in rides published via the Platform.

8.4 Clubs are recommended to create their own liability waiver for ride participants. Grupetti may offer functionality for this in the future.

9. Strava integration

9.1 Users can connect their Strava account to the Platform via OAuth. This connection is voluntary and can be disconnected at any time via account settings.

9.2 After connection, Grupetti has access to your Strava activity data (distance, elevation, speed, route, timestamp) for the purposes of ride matching, group ride detection, ride card generation, and — if you opt in — enriching your Strava activity descriptions.

9.3 The use of Strava data by Grupetti is subject to both these Terms and the Strava API Agreement. In case of conflict, the Strava API terms prevail for the use of Strava data.

10. Intellectual property

10.1 All intellectual property rights to the Platform, software, design, the brand name "Grupetti", and content generated by the Platform (including ride cards, sponsor cards, and social media content) belong to Grupetti.

10.2 Clubs and Users retain ownership of content they upload (photos, logos, GPX files, texts). By uploading content, you grant Grupetti a non-exclusive, royalty-free, sublicensable license to use this content for providing the Services. This license includes displaying it on public club pages, generating ride cards and social media content, and storing and processing it for Platform functionality. The license terminates when you delete the content or terminate your account.

10.3 Users may freely share Platform-generated ride cards and social media content on their personal channels. Commercial reuse or resale of generated content is not permitted.

11. Code of conduct

11.1 Users may not use the Platform for:

  • Unlawful activities or promoting such activities
  • Distributing offensive, discriminatory, threatening, or misleading content
  • Disrupting the operation of the Platform (including hacking attempts or API abuse)
  • Unauthorized collection of personal data of other Users
  • Creating fake accounts or falsifying ride data
  • Commercial use other than intended by the Platform
  • Acting in violation of the Stripe Acceptable Use Policy

11.2 Grupetti reserves the right to remove content and suspend accounts in case of violation of this code of conduct.

12. Restriction, suspension, and termination by Grupetti

12.1 Grupetti may restrict, suspend, or terminate the access of a User or Club to the Platform in the following cases:

  • Repeated or serious violation of these Terms or the code of conduct
  • Fraud, abuse, or falsification of data
  • Non-compliance with the Stripe Acceptable Use Policy
  • At Stripe's request for compliance reasons
  • Violation of applicable laws and regulations

12.2 Except in urgent cases (fraud, safety risk), Grupetti will prior to restriction or termination:

  • inform the User or Club by email of the reason
  • provide a reasonable period to remedy the situation (at least 14 days)
  • offer the opportunity to export data

12.3 This provision applies in accordance with Article 4 of Regulation (EU) 2019/1150 (P2B Regulation).

13. Templates and sample content

13.1 Grupetti provides templates and sample content, including a sample liability acknowledgment that clubs may present to their members. These templates are intended as a starting point and have been drafted with care based on Dutch law as in force at the time, but Grupetti is not a legal services provider. The club is responsible for the final text it presents to its members and for the legal validity of that text in its own jurisdiction. Grupetti accepts no liability for consequences arising from use of a template without independent legal review.

14. Liability

14.1 Grupetti provides the Platform "as is". We make reasonable efforts to keep the Platform available, functional, and secure, but do not guarantee uninterrupted or error-free availability.

14.2 Grupetti is not liable for:

  • Damage resulting from incorrect or incomplete information provided by Users
  • Damage arising from the organization of or participation in rides or Events
  • Technical failures, outages, or changes at third parties (Stripe, Strava, Supabase, Vercel)
  • Inaccuracies in weather forecasts (Open-Meteo)
  • Loss of data due to circumstances beyond our reasonable control
  • Actions or omissions of Clubs, Sponsors, or other Users
  • Chargebacks, payment disputes, or measures by Stripe

14.3 If Grupetti is liable despite the foregoing, total liability is limited to the amount the affected User or Club has paid in platform fees to Grupetti in the 12 months preceding the damage-causing event, with a maximum of €500. If no platform fees have been paid, liability is limited to €100.

14.4 The limitations in this article do not apply to damage caused by intent or gross negligence on the part of Grupetti, nor to liability for death or personal injury resulting from negligence by Grupetti.

15. Privacy and data protection

15.1 Grupetti processes personal data in accordance with the General Data Protection Regulation (GDPR) and our Privacy Policy.

15.2 Clubs are data controllers for the personal data of their members processed via the Platform. Grupetti acts as a data processor on behalf of the Club in accordance with the Data Processing Agreement.

15.3 Clubs are obligated to inform their members about the processing of personal data via the Platform and to refer to Grupetti's Privacy Policy.

16. Data access for Clubs

16.1 In accordance with Regulation (EU) 2019/1150, Grupetti informs Clubs about the data that the Platform collects and processes in connection with the Club's use and its members:

  • Ride data: sign-ups, attendance, speed groups, route usage
  • Member data: name, email, role, membership status
  • Event data: ticket sales, payment status, participant counts
  • Sponsor data: sponsorship values, deliverable logging, reporting
  • Analytical data: member count, active rides, participation rate

16.2 This data is available through the club dashboard. Clubs can export their member list as CSV.

16.3 Grupetti does not share personal data of individual Users with third parties for commercial purposes, unless necessary for providing the Services.

17. Complaints handling

17.1 Users and Clubs can submit complaints via hello@grupetti.cc.

17.2 Grupetti will substantively address complaints as soon as possible, but no later than 14 days after receipt. If a longer period is needed, you will be informed.

17.3 For disputes about payments processed by Stripe, we refer in the first instance to Stripe's complaints procedure.

17.4 Online dispute resolution: the European Commission provides a platform for online dispute resolution (ODR), available at ec.europa.eu/odr. Grupetti is not obligated and not willing to participate in a dispute resolution procedure before a consumer dispute committee.

18. Duration and termination

18.1 This agreement commences upon account creation and continues for an indefinite period.

18.2 Users can delete their account at any time via the account settings in the app or dashboard. This results in permanent deletion of all personal data in accordance with our Privacy Policy.

18.3 Club Admins can dissolve their Club via the dashboard settings. All club data is permanently deleted. Outstanding payments are still completed via Stripe.

18.4 Grupetti may terminate an account or Club in accordance with article 12 of these Terms.

18.5 Outstanding payment obligations survive termination.

19. Force majeure

19.1 Grupetti is not liable for failure to perform obligations due to circumstances beyond its reasonable control, including but not limited to outages at Stripe or other third parties, internet failures, DDoS attacks, natural disasters, pandemics, or government measures.

20. Applicable law and disputes

20.1 These Terms of Service are governed by Dutch law.

20.2 Disputes shall be submitted to the competent court in the district of Limburg, unless mandatory law provides otherwise. Consumers may also choose the court of their own place of residence.

20.3 Before submitting a dispute to court, parties shall make reasonable efforts to resolve the dispute amicably.

20.4 For disputes between Grupetti and Clubs (business users) under Regulation (EU) 2019/1150, the following mediators are available:

  • MfN-registered mediator (Mediators Federation Netherlands), reachable via mediatorsregister.nl
  • ADR International, reachable via adr-internationaal.nl

21. Miscellaneous

21.1 If any provision of these Terms is found to be void or voidable, this shall not affect the validity of the remaining provisions. In place of the void provision, a provision shall apply that most closely approximates the intent of the original provision.

21.2 Failure to enforce any right under these Terms does not constitute a waiver of that right.

21.3 These Terms are drafted in Dutch. In case of discrepancies between translations, the Dutch text prevails.

21.4 The agreement between you and Grupetti is stored by Grupetti after conclusion and is accessible to you via your account settings.
